MicroPort® Enters into Letter of Intent with Tinavi for Potential Disposal of International Orthopedics Business

Shanghai, China - July 15, 2026 — MicroPort Scientific Corporation (HKEX: 00853, “MicroPort®”) announced that its subsidiary, Suzhou MicroPort Orthopedics Scientific (Group) Co., Ltd. (“Suzhou MicroPort”), has entered into a letter of intent with Tinavi Medical Technologies Co., Ltd. (SSE: 688277, “Tinavi”) regarding Tinavi’s proposed acquisition of a controlling interest in Shanghai MicroPort Orthopedics Co., Ltd. (the “Target Company”) from Suzhou MicroPort and the other shareholders of the Target Company.

Under the proposed structure, consideration for the potential transaction would be paid through the issuance of new Tinavi shares. The letter of intent reflects the parties’ preliminary intentions only, and the specific terms of the potential transaction remain subject to further negotiation.

The Target Company is the core operating entity for MicroPort®’s international orthopedics business outside China. It principally develops and commercializes hip and knee reconstruction products in markets including the United States, Japan and Europe, supported by an established distribution network covering more than 70 countries and regions.

Its representative Medial Pivot Knee Prostheses have more than 20 years of clinical application experience and over one million cumulative implantations worldwide. According to long-term follow-up data published in The Knee, the prosthesis achieved a 17-year cumulative retention rate of 98.8% and a patient satisfaction rate of 95%.¹

Tinavi is an orthopedic surgical robotics company whose TiRobot platform covers spine, joint and trauma indications. The potential transaction is intended to combine the Target Company’s joint-replacement portfolio and international commercial network with Tinavi’s expertise in orthopedic surgical robotics.

The parties believe that the proposed integration could support closer alignment between orthopedic implants and robotic-assisted surgery, while creating opportunities for operational and commercial collaboration. For MicroPort®, the proposed structure would maintain exposure to the future development of the combined business through the new Tinavi shares issued as consideration, subject to the final transaction terms.

The potential transaction remains in the planning stage and is subject to the successful completion of commercial negotiations and due diligence, the execution of formal agreements, and the receipt of all required internal and regulatory approvals. There is no assurance that the transaction will proceed or as to its final terms.
